THE AGREEMENT 

1.1 This Agreement sets out the complete Terms and Conditions (hereinafter called “these Terms and Conditions”) which shall be applicable to the transactional account provided by OrangeTech Limited, a company licensed and regulated by the Bank of Ghana and transacted with your Mobile Money wallet/account (as such terms are hereinafter defined).    

DEFINITIONS

2.1 In these Terms and Conditions, the following words and expressions (save where the context requires otherwise) shall bear the following meanings:   

2.1.1 “ORANGETECH” means OrangeTech Limited, or any person to whom it transfers any of its rights or obligations;      

2.1.2 “Payjack” means any account opened by ORANGETECH on the payment processing platform following your application and is a payment processing service available for small business owners to transact digitally as well collect payment against their sales;           

2.1.3 “Mobile Money app” means an app which allows you to store, send and receive money using their mobile phone;  

2.1.4 “Mobile Money Platform” means the payment services offered by telecommunication companies via a mobile device;

2.1.5 “Mobile Money Terms and Conditions” means the terms and conditions applicable to mobile money wallets and provided by the relevant service provider;

2.1.6 “Transaction Amount” means the total amount processed by you via your Payjack account on a regular basis;

2.1.7 “We/Our/Us” means ORANGETECH;

2.1.8 “You/your/ yours” means the customer or customers.

ACCEPTANCE OF TERMS AND CONDITIONS

3.1 Before applying for a Payjack Account you should carefully read and understand these Terms and Conditions and the Mobile Money Terms and Conditions which together will constitute the Agreement between us and you for any payment processing services provided by us to you;       

3.2 If you do not agree with these Terms and Conditions, please click “Cancel” on the relevant Mobile Money USSD or mobile application menu option.

CREATING A PAYJACK ACCOUNT

4.1 When you apply for a Payjack Account, your Application shall be appraised according to ORANGETECH’s application requirements. At our sole discretion, ORANGETECH reserves the right to approve or decline your application without the need to assign any reason.       

4.2 Subject to your acceptance of the offer of a Payjack account in accordance with the Terms and Conditions specified herein, you will be expected to process payments from and to your business via your Account.          

4.3 Your account accepts multiple payment options. Payment options include but are not limited to:
– Visa®, 
– MasterCard®, 
– MTN Mobile Money®, 
– AT Money®, 
– Vodafone Cash®, 

Since most orders are digitally delivered, credit/debit cards and or mobile money accounts are generally charged at the time you initiate an order.

USE OF YOUR PAYJACK ACCOUNT

5.1 You may also use your account for airtime purchases, bill payments, peer-to-peer transfers.     

5.2 Charges: We may charge a convenience fee for certain services. Other services may be offered at face value with no additional charge from us. All convenience fees are subject to change.  

MAKING A PAYMENT

After you place an order to process a payment, we will validate the information you give us, by verifying your method of payment. We reserve the right to reject any order you place, and/or to limit quantities on any order, without giving any reason. If we reject your order, we will attempt to notify you using the e-mail address or phone number in your account. Your credit or debit card will normally not be charged if we reject an order and will only be charged by the appropriate amount if we limit an order.

SECURITY

Security Passcode means User ID, Passwords, PINS, Codes and any other Personal Identifiers. You must ensure that you use your best endeavors to safeguard your account and keep any security passcodes safe from access or use by unauthorized persons.        

You agree to use your best endeavors to keep all security passcodes secret, never to disclose them to anyone and to prevent their fraudulent or unauthorized use. You must never disclose your security passcode to anybody or allow any other person to use your account other than yourself. If you do, you will be liable for all transactions without limit.           

When entering your security passcode, you must use your best endeavors to prevent fraudulent use. These include but are not limited to shielding the keypad when entering your secret passcode for transactions and complying with all instructions we issue, including keeping your security passcode safe.           

We will never request your security passcode via telephone, text message, in writing or via email. If you receive such request, please report it to us. 

You must contact us immediately without undue delay if :

  • You become aware that any of your security passcodes have been compromised. You must contact us immediately and request for us to deactivate it.

If you fail to comply with any of the conditions set out or any security instruction we give you, or act fraudulently, you will be responsible for any direct, indirect and consequential losses suffered by you and us.           

You must allow a reasonable time after notification for us to deactivate the security passcode. We shall not be held liable for any unauthorized withdrawals during the period that we have not been notified.

CLOSING YOUR ACCOUNT

8.1 You may ask us to close your account at any time provided that you have no outstanding liabilities to us. The closure will not be finalized until all outstanding instructions have been completed.     

8.2 We may choose to end our relationship with you at any time, but we will give you reasonable notice unless there are specific circumstances that prevent us from doing so such as suspicion that you have committed or attempted a fraud, impersonation, forgery, etc.

Note that we reserve the right to modify, suspend or discontinue temporarily or permanently, this service or any part of it, with or without notice, at any time.

MONEY LAUNDERING/TERRORISM FINANCING

Transactions shall not be executed if they are found to contravene the laws and regulations on Money Laundering and Financing of terrorism or its related acts. Payment could be delayed, suspended or refused where a party is implicated in the violation of the law, or an authority requires information or clarification to comply with the law or regulation.           

Note that OrangeTech shall not be held liable for transactions which are subsequently discovered to be from criminal or other illegal sources.

DISCLOSURE OF INFORMATION

You hereby expressly consent and authorize ORANGETECH to share your personal information and to disclose, receive, record or utilize your personal information or information or data relating to your Payjack Account and any details of your use of the Services to:       

10.1 Any local or international law enforcement or competent regulatory or governmental agencies so as to assist in the prevention, detection, investigation or prosecution of criminal activities or fraud;             

10.2 ORANGETECH’s service providers, dealers, agents or any other company that may be or become ORANGETECH’s subsidiary or holding or related company for the purpose of performing its obligations under these terms and conditions;           

10.3 ORANGETECH’s lawyers, auditors or other professional advisors or to any court or arbitration tribunal in connection with any legal or audit proceedings; 

10.4 For reasonable commercial purposes connected to your use of the Mobile Money Services, such as marketing and research related activities; and 

10.5 In business practices including but not limited to quality control, training and ensuring effective systems operation;

10.6 Additionally, you agree that your personal information, including a record of your transactions will be stored up to the maximum legal limit.

DISCLAIMER

You hereby waive any rights or claims you may have against us relating to the provision of the aforesaid information by you in terms of this Agreement.

VARIATION

We reserve the right to vary these terms and conditions at our sole discretion and notify you through publication on our website, SMS, on the account, and any other medium available and in use by us at the time.
